Norilsk shareholders meeting made procedural violations says prosecutor

Norilsk Nickel, the world's largest nickel producer made violations in corporate governance regulations during its annual shareholders meeting in June, Russia's Prosecutor General Yuri Chaika said on Wednesday.

MOSCOW, September 15 (RIA Novosti) - Norilsk Nickel, the world's largest nickel producer made violations in corporate governance regulations during its annual shareholders meeting in June, Russia's Prosecutor General Yuri Chaika said on Wednesday.

"There were violations in the corporate regulations and they have to do with shareholders meeting procedure violations," Chaika said.

The Prosecutor's office said on Friday that several violations were found during the course of its investigation, and it was surprised at Norilsk's statement claiming the opposite.

RusAl and another Norilsk core shareholder Interros, billionaire Vladimir Potanin's investment arm, are embroiled in a shareholder row after RusAl had lost one seat on Norilsk's board at the annual shareholders' meeting in June, while Interros increased its representation.

RusAl has accused Interros of ruining agreed board parity and vote fraud. It filed a request to the Russian Federal Financial Markets Service asking it to check AGM results. Kommersant business daily said earlier this week that the service has discovered possible collusion between management of Norilsk Nickel, Interros and Norilsk's American Depository Receipts nominal holder Bank of New York (BoNY).
